Terms & Conditions

TERMS AND CONDITIONS OF USE

Last Updated: October 11, 2026

1. ACCEPTANCE OF TERMS

By accessing, registering for, or using this platform ("the Platform"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not use the Platform.

2. PLATFORM OVERVIEW

2.1 Role of the Platform

The Platform is a digital ticketing and event management system that uses a virtual credit-based economy to facilitate event registration and priority ticket allocation. The Platform is operated for the purpose of managing event access and does not constitute a financial service, payment system, stored value facility, or investment platform. Events hosted on the Platform are fundamentally free to access, and the virtual economy functions strictly as an engagement-based reward system.

2.2 Multi-Organisation Architecture and Independence

The Platform operates a multi-organisation model in which distinct Organisations ("Organisations" or "organisers") independently host events, surveys, and store listings under their own administrative structure. The Platform operator is entirely independent of these event organisers and venue hosts. Each Organisation operates as a separate, self-governing entity with its own administrators, settings, rules, branding, and content. Users interact with specific Organisations' events but are registered at the Platform level. Organisation administrators are scoped strictly to their own Organisation's content and data. The Platform operator sits above all Organisations and is responsible for the Platform's overall technical operation, integrity, and compliance, but has no control over, nor liability for, the specific operations, conduct, or logistics of individual organisers.

2.3 Intermediary and Content Disclaimer

The Platform operates solely as an intermediary technological platform. Any events, information, images, descriptions, surveys, store listings, or other content uploaded or published on the Platform by event organisers or users ("User-Generated Content") belong entirely to their respective uploaders or owners. The Platform operator does not pre-screen, verify, guarantee, or endorse any User-Generated Content or the quality, safety, legality, or existence of any events hosted. The operator bears no responsibility or liability for any claims, damages, or disputes arising from User-Generated Content or events organized through the Platform. You acknowledge that some event organisers are independent third parties, and you engage with them and attend their events entirely at your own risk.

3. VIRTUAL CREDITS ("Clovers")

3.1 Nature of Virtual Credits

The virtual credits, referred to generically in these Terms as "Clovers" (regardless of the actual in-platform terminology such as points, tokens, credits, or any other name), used on this Platform are a non-monetary, non-transferable (except as expressly permitted within the Platform), and non-redeemable digital unit representing platform-specific engagement credits. Under international regulatory frameworks (including US FinCEN guidelines, EU MiCA regulations, and Singapore MAS frameworks), Clovers do not constitute legal tender, electronic money, stored value facilities, banking deposits, securities, or financial instruments. Clovers cannot be purchased with fiat currency, have no real-world monetary value, cannot be exchanged for cash, cryptocurrency, or any form of legal tender, and do not represent any form of stored value, credit, or financial instrument. Clovers are strictly intended for personal, non-commercial use within the Platform and may not be bought, sold, bartered, or traded for money, services, or any other forms of value outside of the Platform.

3.2 Clovers Issuance and Adjustment Clovers

The Platform operator reserves the absolute right to issue, modify, adjust, reset, or revoke any Clovers at any time to maintain platform integrity, prevent abuse, or reflect operational updates. This includes, but is not limited to, modifying interest rates, income rates, transfer tax rates, and other economic parameters at the operator's sole discretion. The operator will endeavor to provide reasonable notice on the Platform for any major structural changes to the Clovers economy, except in emergencies, technical failures, or cases of suspected user misconduct, where changes may be made instantly without notice and without liability.

3.3 No Guarantee of Clovers Value

The utility and availability of Clovers may change at any time. The Platform operator does not guarantee that Clovers will maintain any particular purchasing power or utility on the Platform. Clovers are accumulated entirely at the user's own risk and may be lost, expire, or become worthless at the operator's discretion or due to system updates.

3.4 Refunds

Clovers spent on ticket purchases are refundable only if (a) the user cancels their ticket at least 24 hours before the event start time, or (b) the event is cancelled by the Platform operator. Cancellations made within 24 hours of the event start time are non-refundable and may result in the user being classified as a no-show, subject to account penalties.

3.5 Transfer Restrictions

Clovers transfers between users within the Platform are subject to level-based restrictions and applicable transfer taxes as determined by the Platform operator. The operator may restrict, limit, or disable transfers at any time to preserve the platform economy or prevent fraudulent activity.

3.6 Engagement Games, Streaks, and Leaderboards

(a) The Platform may host interactive activities (including drawing challenges, trivia, and quizzes) and streak tracking. All game scores, streak bonuses, XP, and Clovers rewards are non-monetary engagement rewards subject to Section 3.1.

(b) Cheating, bot usage, script automation, or exploitation of score mechanisms is strictly prohibited. The operator reserves the absolute right to void attempts, reset user stats, and forfeit rewards of any account suspected of exploitation.

(c) The operator is not liable for any network delays or technical errors that result in lost game attempts, failed streak counts, or unawarded points.

3.7 Automated Processing and Economic Adjustments

(a) The virtual credit economy (including interest calculations, level thresholds, and platform-wide parameters) is processed through automated systems. The Platform operator reserves the right to adjust, calibrate, or pause economic parameters at any time to preserve platform balance, security, and stability.

(b) In the event of system interruptions, technical maintenance, or processing delays, the operator may adjust virtual credit balances to reflect verified records without liability. Users agree that virtual credits do not constitute vested property rights.

4. EVENT REGISTRATION AND TICKET ALLOCATION

4.1 Two Ticket Acquisition Methods

The Platform offers two methods of obtaining event tickets for otherwise free admissions: (a) Priority Access, which provides instant ticket issuance in exchange for Clovers; and (b) Standard Ballot, which is an allocation method governed by internal system algorithms. Neither method guarantees event participation, as events may be cancelled, modified, or subject to capacity changes at the operator's discretion.

4.2 Ballot System

The Standard Ballot is an algorithmic, weighted distribution method. Entry into the ballot is free but does not confer any guaranteed right or expectation of receiving a ticket. Users acknowledge that the selection algorithm is not purely random; the allocation system may dynamically adjust distribution probabilities or prioritize entries based on profile metrics, including but not limited to: user levels, experience points (XP), platform engagement history, and records of past event attendance. The platform operator reserves the absolute right to automatically de-prioritize or completely exclude accounts from the ballot pool that have a documented history of unexcused absences ("no-shows") or ticket cancellations within the 24-hour restricted window.

4.3 Priority Access

Priority Access allows users to secure tickets instantly by spending Clovers accumulated through platform engagement. Tickets are issued immediately upon successful transaction, subject to available venue capacity. Clovers spent on Priority Access are refundable only in accordance with the refund policy set out in Section 3.4.

4.4 Ticket Cancellation

Users may cancel their confirmed tickets at any time. If the cancellation occurs at least 24 hours before the event start time, any Clovers spent on Priority Access will be refunded. If the cancellation occurs within 24 hours of the event start time, no Clovers refund will be provided. Users who hold tickets but do not attend the event and do not cancel in advance will be automatically classified as a no-show, which will alter their backend allocation probabilities and may restrict their future use of the Platform or ballot mechanisms.

4.5 Event Cancellation and Rescheduling

The Platform operator and event organisers reserve the right to cancel, postpone, or modify any event at any time (including due to adverse weather events, natural disasters, venue emergencies, or force majeure circumstances). Severe weather protocols (such as tropical cyclones, typhoons, hurricanes, blizzards, torrential rainstorms, or municipal civil defense alerts in the event's relevant jurisdiction) and ticket/fiat refund policies are governed by the respective Event Terms and Conditions. In the event of an event cancellation, all Clovers spent on Priority Access for that event will be returned to the respective users, and affected registrants will be notified. The Platform operator bears no liability for external user expenses (e.g., transport, travel, or personal arrangements) resulting from event cancellations or weather disruptions.

4.6 Surveys

Organisations may publish surveys associated with their events or as standalone surveys targeted at registered users. Completing a survey may attract Clovers and experience point (XP) rewards at the Organisation's discretion, subject to the Platform operator's maximum reward caps. Survey responses are processed in accordance with our Privacy Policy. Survey content is the sole responsibility of the Organisation that created it; the Platform operator is not responsible for the content, accuracy, or purpose of any survey.

4.7 Seat Map and Seating Allocation Disclaimer

(a) For events utilizing seating charts, seat picking, or timeslot selection, the allocation of seats is handled dynamically. The Platform operator does not warrant seat availability, the layout accuracy of seat maps, or venue accessibility features.

(b) Registered attendees must settle any seating discrepancies or venue disputes directly with the event organizers. The platform is not responsible for double bookings or venue seating reconfigurations.

5. USER ACCOUNTS AND CONDUCT

5.1 Account Policy, Verification, and Pseudonymity

(a) Strict Account Limit: Only one (1) account is permitted per individual person. Creating, maintaining, or operating multiple accounts for any reason is strictly prohibited. Violation of this rule may lead to immediate suspension or permanent banning of all associated profiles.

(b) No Identity Document Requirement: The Platform does not require you to provide government-issued personal identification documents (such as national identity cards, state/provincial driver's licenses, or passports) for regular registration. There is no strict obligation to input your legal real name, real phone number, or real email address. These fields are strictly collected for account differentiation, unique token authentication, and platform communication purposes.

(c) User Risk Assumption: While real credentials are not universally mandated, the Platform operator is not responsible or liable for any loss, forfeiture of tickets, or inconvenience resulting from your decision to enter unverifiable names, numbers, or faulty details. This includes, but is not limited to: failing to receive ticket confirmation codes due to wrong email entry, verification failures during entry checkpoints, or event admission rejections by independent venue organizers.

(d) Age-Limited Events: Certain events hosted on the Platform may be subject to legal, content, or venue-enforced age restrictions (e.g., 18+ entry). For access to these specific age-limited events or specific priority entries, you must input your true, accurate chronological age. The operator and event hosts reserve the right to verify your age at the door via official credentials, and any discrepancy or false age entry will result in immediate ticket forfeiture and potential account suspension.

5.2 Prohibited Conduct

You agree not to: (a) create multiple accounts for the purpose of farming Clovers, manipulating engagement metrics, or manipulating the ticket allocation system; (b) use automated scripts, bots, or other unauthorized software to interact with the Platform; (c) transfer, sell, trade, or attempt to transfer, sell, or trade your account or Clovers outside of the Platform for money, services, or any other real-world value; (d) engage in any activity that disrupts the Platform's operation or other users' experience; (e) post, upload, or share any content that constitutes hate speech, harassment, discrimination, explicit material, or promotes illegal activities.

5.3 Account Termination

The Platform operator reserves the right to suspend or terminate any account at any time, for any reason, including but not limited to violation of these Terms. Upon termination, all Clovers, XP, and data associated with the account may be permanently deleted without compensation or liability.

5.4 System Exploitation

You agree not to use, exploit, or manipulate any platform mechanism—including but not limited to the Clovers economy, experience points (XP), levels, rewards, quick link rewards, event registration, ballot system, transfer system, survey rewards, store purchasing, or any other feature—in any manner other than its reasonably intended purpose. Any attempt to gain an unfair advantage, circumvent restrictions, or exploit bugs, loopholes, or unintended behaviours of the Platform shall constitute a material breach of these Terms.

5.5 Reward Abuse

The Platform operator reserves the right to decline, reverse, or forfeit any rewards—including but not limited to Clovers, XP, link click rewards, event attendance rewards, survey rewards, store refunds, and any other incentive—at its sole discretion, if the operator reasonably believes that the reward was obtained through exploitation, manipulation, automation, or any method inconsistent with legitimate personal use of the Platform.

5.6 Enforcement Actions

In the event of a suspected or confirmed violation of Sections 5.1(a), 5.2, 5.4, 5.5, or 5.7, the Platform operator may, at its sole discretion and without prior notice: (a) suspend or permanently terminate the user's account or network of accounts; (b) confiscate, reset, or adjust the user's Clovers, XP, level, and any other platform assets; (c) reverse or void any transactions, rewards, or ticket allocations; (d) restrict access to specific platform features; (e) take any other action deemed necessary to preserve the integrity of the Platform. The operator's decision in such matters shall be final and binding.

5.7 Prohibition of Secondary Markets

The Platform operator strictly prohibits any secondary market, off-platform trade, or parallel transaction involving Clovers, user accounts, or ticket allocations. If the operator reasonably suspects that Clovers or tickets have been transferred, bartered, or promised between accounts in exchange for real-world currency, external goods, or external services, the operator reserves the right to immediately freeze or terminate all involved accounts, confiscate the traded Clovers, and void any ticket allocations obtained using those Clovers without notice or liability.

5.8 Trade Sanctions and Lawful Compliance

You represent and warrant that you are not located in an internationally embargoed jurisdiction and are not named on any official government sanctions list (including United Nations, US OFAC, EU, or UK restricted party lists). You agree to use the Platform strictly in compliance with all applicable local, national, and international laws.

6. ADMIN AND EVENT ORGANISER RESPONSIBILITIES

6.1 Administrative Role Hierarchy

The Platform operates a structured, tiered administrative system. Each tier carries defined responsibilities and constraints:

(a) Platform Administrators (Superadmins): Platform Administrators are appointed by the Platform operator and hold the highest level of administrative authority. They are responsible for the overall management of the Platform, including system settings, user account administration, platform-wide content, newsletter broadcasting, and oversight of all Organisations.

(b) Organisation Managers: Organisation Managers are administrators designated to manage a specific Organisation. They may appoint new administrators to their Organisation and grant or revoke organisation-scoped permissions. Organisation Managers may not appoint other Organisation Managers or promote any user to Platform Administrator status. They may not modify platform-level settings, access other Organisations' data, or access the global user list.

(c) Event Administrators: Event Administrators manage events, timeslots, surveys, attendance verification, and reward QR codes for their Organisation only. They may view aggregate, anonymised demographic and attendance statistics for their own events but may not access individual user personal data or data belonging to other Organisations.

(d) Store Administrators: Store Administrators manage store item listings and fulfil store orders for their Organisation only. Their data access is limited to information necessary for order fulfilment (e.g., buyer delivery address). They may not access user profiles or data outside their Organisation's store operations.

6.2 Event Legality and Safety

Admins are solely responsible for the events they organise on the Platform. Admins warrant that their events comply with all applicable laws, regulations, and venue requirements, and do not promote illegal, harmful, or discriminatory activities. The Platform operator bears no responsibility for verifying the safety, legality, or logistics of any event created by an Admin.

6.3 Prohibition of Abuse of Power

Admins must not abuse their privileges to unfairly manipulate ticket allocations, hoard platform virtual credits, or arbitrarily ban users without justified cause. Furthermore, Admins are strictly prohibited from soliciting or accepting real-world currency, bribes, or external favors in exchange for priority event access, guaranteed tickets, or platform favors. Any such abuse will result in immediate termination of Admin privileges and potential legal action.

6.4 Prohibition of Privilege Escalation

Admins are strictly prohibited from attempting to gain access to permissions, data, or functionality beyond what has been explicitly granted to them by their designated role and Organisation assignment. Any confirmed or attempted privilege escalation will be treated as a serious breach of these Terms and may result in immediate termination of all administrative access and potential legal action.

6.5 Survey and Store Responsibility

Admins who create surveys or manage store listings are solely responsible for the legality, accuracy, and appropriateness of their content. Survey reward amounts are subject to platform-level caps set by Platform Administrators. Store Administrators are responsible for fulfilling orders in a timely and accurate manner. The Platform operator is not a party to any store transaction and bears no liability for disputes between buyers and sellers.

6.6 AI Assistant and Generated Content Disclaimer

(a) The Platform provides optional AI-assisted tools (e.g., text optimization, translation, and survey generation) powered by third-party services for use by administrators. Such tools and their outputs are provided on an "as is" and "as available" basis.

(b) The Platform operator makes no warranty regarding the accuracy, completeness, compliance, or non-infringement of AI-generated content. Admins are solely responsible for reviewing, verifying, and approving any AI-generated drafts before applying or publishing them. Clovers costs for AI tools are final and non-refundable.

7. STORE AND Clovers MARKETPLACE

7.1 Store Availability and Nature

The Platform may include a store feature ("Store") through which Organisation administrators may list physical goods, digital products, or services redeemable by users in exchange for Clovers. Availability of the Store is subject to Platform operator settings and Organisation-level configurations. The Platform operator reserves the right to enable, disable, or restrict Store functionality at any time.

7.2 Transaction Tax

Store transactions are subject to a platform-level transaction tax deducted from the seller's proceeds. The applicable tax rate is set by the Platform operator and may be adjusted at any time. The tax is collected by the Platform operator for platform maintenance and operational purposes.

7.3 No Warranty for Store Items

The Platform operator does not guarantee the quality, safety, legality, or availability of any store items. All store items are listed and fulfilled solely by Organisation administrators. Users purchase store items at their own risk.

7.4 Store Transaction Disputes

Disputes regarding store orders are between the buyer and the Organisation's Store Administrators. The Platform operator is not a party to any store transaction and bears no liability for disputes arising therefrom. The Platform operator may, at its sole discretion, assist in resolving disputes where platform integrity is at risk, but is not obligated to do so.

8. INTELLECTUAL PROPERTY AND THIRD-PARTY LINKS

8.1 Platform Intellectual Property

All rights, title, and interest in and to the Platform, including its source code, design, branding, and algorithms, are and will remain the exclusive property of the Platform operator. Nothing in these Terms gives you a right to use the Platform's name, trademarks, logos, domain names, or other distinctive brand features.

8.2 User-Generated Content License

While you retain ownership of any content you upload, by submitting User-Generated Content, you grant the Platform a worldwide, non-exclusive, royalty-free license to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such content in any and all media or distribution methods to operate and promote the Platform.

8.3 Intellectual Property & Content Reporting

If you believe in good faith that any event listing, image, text, or content hosted on the Platform infringes your copyright, trademark, or other intellectual property rights, please submit a written notification to our team at [info@clov.co](mailto:info@clov.co) or [superadmin@clov.co](mailto:superadmin@clov.co) detailing the specific content and evidence of ownership. We will investigate promptly and take appropriate corrective measures.

8.4 Third-Party Links

The Platform may contain links to third-party websites, services, or forms (e.g., external venues, Google Forms) posted by users or Admins. The Platform operator does not endorse and bears no responsibility for the content, privacy policies, or practices of any third-party websites or services.

9. LIMITATION OF LIABILITY AND SYSTEM AVAILABILITY

9.1 No Warranty

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. THE PLATFORM OPERATOR DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 Limitation of Liability & Enforceability

(a) TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM OPERATOR, ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF VIRTUAL Clovers OR BALANCES, SYSTEM DOWN TIME, DATABASE CORRUPTION, LOSS OF USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, THE Clovers ECONOMY, EVENT ATTENDANCE, TICKET ALLOCATION, SURVEY PARTICIPATION, OR STORE TRANSACTIONS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.

(b) Statutory Consumer Protection Carve-out: Nothing in these Terms shall limit or exclude our liability for: (i) death or personal injury resulting from negligence; (ii) fraud or fraudulent misrepresentation; or (iii) any statutory rights or consumer guarantees that cannot be excluded or limited under applicable law.

(c) Aggregate Liability Cap: To the maximum extent permitted by applicable law, the Platform operator's total aggregate liability arising out of or relating to these Terms or your use of the Platform shall be limited to the greater of: (i) the total fiat amount paid by you to the Platform in the twelve (12) months preceding the claim, or (ii) HKD $100 (or equivalent nominal amount in your local currency).

9.3 Indemnification

You agree to indemnify, defend, and hold harmless the Platform operator, its affiliates, directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Platform; (b) your violation of these Terms; (c) any dispute between you and another user regarding Clovers, tickets, events, surveys, or store transactions; (d) any content you submit to the Platform.

9.4 Dispute Resolution

Any disputes between users regarding Clovers transfers, ticket allocations, event-related matters, survey disputes, or store transaction disputes are the sole responsibility of the users involved. The Platform operator is not a party to such disputes and bears no liability for their resolution.

9.5 Data Loss and Force Majeure

The Platform operator does not guarantee continuous, uninterrupted, or secure access to the Platform. Operations may be interfered with by numerous technical or external factors outside the operator's control. The operator shall not be liable for any loss of data, database corruption, or the disappearance of any virtual assets (Clovers, XP, rewards, tickets) caused by system technical failures, cyberattacks, software bugs, human error, or Force Majeure events (including but not limited to natural disasters, severe weather conditions such as typhoons, hurricanes, blizzards, or extreme rainstorm alerts, pandemics, strikes, or government mandates).

9.6 Maintenance and Geographical Restrictions

The Platform operator reserves the absolute right to restrict, suspend, or terminate access to the Platform entirely or in part, at any time without prior notice, for operational purposes, system maintenance, upgrades, or security patches. Furthermore, the operator may enforce geo-location restrictions to block access from specific countries or regions to comply with local laws, prevent fraud, or manage operational capacity.

10. MODIFICATION OF TERMS

The Platform operator reserves the right to modify these Terms at any time. Continued use of the Platform after any such modification constitutes acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

11. PERSONAL DATA AND PRIVACY

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you acknowledge the collection, use, processing, and retention of your personal data in accordance with our Privacy Policy and applicable data protection legislation (including the General Data Protection Regulation (GDPR/UK GDPR), the Personal Data (Privacy) Ordinance of Hong Kong, the Singapore Personal Data Protection Act, and the California Consumer Privacy Act).

12. GOVERNING LAW AND SEVERABILITY

12.1 Governing Law & International Consumer Protection

These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to conflict of law principles. Any dispute arising out of or in connection with these Terms shall be subject to the jurisdiction of the courts of Hong Kong. Notwithstanding the foregoing, nothing in these Terms shall exclude, limit, or supersede any mandatory statutory consumer protection rights or statutory remedies granted to you under the laws of your country or territory of habitual residence (including the European Economic Area, the United Kingdom, or Australia) that cannot be waived or restricted by contract.

12.2 Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions of these Terms will remain in full force and effect.
